The terms governing your use of Aegis Fintech's website, products, and APIs.

These Terms of Service ("Terms") are a binding agreement between you and Aegis Fintech LLC ("Aegis," "we," "us," or "our") and govern your access to and use of our website, products, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or compliance risk.

Certain Services, including deposit accounts and card issuance, are provided by or through chartered partner banks and licensed financial institutions. Such services are subject to the partner's terms and applicable law. Aegis is a technology provider and is not itself a bank. FDIC insurance, where applicable, is provided by partner banks subject to their terms and limits.
Fees for the Services are described in your order form or our pricing materials. Unless otherwise stated, fees are exclusive of taxes and are non-refundable. We may update pricing prospectively with notice as described in your agreement.
The Services, including all software, documentation, designs, logos, and content, are owned by Aegis or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services. You retain ownership of your data; you grant us a license to use it solely to provide and improve the Services.
The Services may interoperate with third-party products and networks. We are not responsible for third-party services, and your use of them is governed by their own terms.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Aegis and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required for legal, security, or compliance reasons. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction, except where applicable law provides otherwise.
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
